SaaS Subscription Terms

1. Overview

These SaaS Subscription Terms govern the billing, payment, and commercial aspects of your use of FlowForge Labs products. By subscribing to any FlowForge Labs product, you agree to these terms in addition to our Terms of Service and End-User License Agreement.

2. Subscription Plans

FlowForge Labs offers three subscription tiers across all product verticals. Final pricing depends on your industry vertical and team size. The indicative ranges are:

  • Starter: Rs. 12,000 – Rs. 15,000 per month. Includes core modules, basic reports, leave management, broadcast messaging, and support for up to 6 users.
  • Professional: Rs. 18,000 – Rs. 24,000 per month. Includes all Starter features plus advanced reports, billable hours tracking, custom branding, admin panel, and support for 7 to 15 users.
  • Enterprise: Custom pricing. Includes all Professional features plus API access, dedicated support, multi-branch capabilities, and priority feature requests for 16 or more users. Contact us for a quote.

The exact subscription fee for your organisation will be confirmed during the onboarding process based on your selected vertical and team size.

3. Setup Fees

All new subscriptions are subject to a one-time, non-refundable setup fee. The setup fee covers:

  • Initial system configuration and environment provisioning
  • Data migration assistance (where applicable)
  • Integration setup with your existing tools and workflows
  • Team onboarding and training sessions
  • Custom branding and configuration

Setup fee ranges by plan tier:

  • Starter: Rs. 15,000 – Rs. 18,000 (one-time)
  • Professional: Rs. 20,000 – Rs. 25,000 (one-time)
  • Enterprise: Custom (determined during scoping)

The exact setup fee will be confirmed in your service agreement. Setup fees are non-refundable once onboarding has commenced.

4. Billing and Payment

  • Subscriptions are billed monthly in advance, on the same date each month as your subscription start date.
  • Payment is due within 7 days of invoice issuance.
  • Accepted payment methods: bank transfer (NEFT/RTGS/IMPS), UPI, and other methods as communicated during onboarding.
  • All invoices will include applicable GST and will be issued in compliance with the Goods and Services Tax Act, 2017.
  • For annual billing, payment for the full year is due upfront at the start of the billing period.

5. Annual Billing Discount

Customers who opt for annual billing receive a 10% discount on the monthly subscription fee. The discounted annual amount is billed as a single payment at the start of the billing year.

Annual subscriptions are non-refundable after the first 30 days. Please refer to our Refund & Cancellation Policy for details.

6. Credits and Prepaid Balances

In certain engagement models (e.g., Design Partner arrangements), FlowForge Labs may issue service credits. Credits are subject to the following terms:

  • Credits are non-transferable and non-refundable
  • Credits have a validity period of 6 months from the date of issuance
  • Unused credits expire at the end of the validity period
  • Credits can only be applied toward monthly subscription fees
  • Credits cannot be exchanged for cash or applied to setup fees
  • Credit balances do not accrue interest

7. Plan Changes

  • Upgrades: You may upgrade your plan at any time. The price difference will be prorated for the remainder of the current billing cycle.
  • Downgrades: You may request a downgrade at the end of your current billing cycle. Downgrades take effect from the next billing period. Feature access may be adjusted.
  • User Additions: Additional users beyond your plan's limit will require a plan upgrade or per-user add-on as agreed during onboarding.

8. Renewal

Monthly subscriptions renew automatically at the end of each billing cycle. Annual subscriptions renew automatically at the end of the 12-month period.

We will send a renewal reminder via email at least 15 days before the renewal date for annual subscriptions. You may cancel auto-renewal by providing notice before the renewal date.

9. Cancellation

You may cancel your subscription at any time by contacting us. Cancellation terms and refund eligibility are governed by our Refund & Cancellation Policy.

Upon cancellation, your access continues until the end of the current paid billing period.

10. Taxes

All prices listed are exclusive of applicable taxes unless stated otherwise. Goods and Services Tax (GST) at the prevailing rate will be added to all invoices.

For B2B transactions, please provide your GSTIN during onboarding to enable proper tax invoicing and input tax credit.

11. Late Payment

If payment is not received within 15 days of the invoice due date, we reserve the right to:

  • Suspend your access to the service until payment is received
  • Charge a late payment fee of 1.5% per month on the outstanding amount
  • Terminate your subscription after 30 days of non-payment, with written notice

Your data will be preserved for 30 days after termination for non-payment, during which you may export your data.
